These Terms of Service (“Terms”) and all Policies listed on taqiro.com/terms govern and apply to your use of the free and paid services, software and websites (the “Service(s)”) provided by Taqiro Technologies India (“Taqiro”, “we”, “our”, etc.), and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, created tasks and associated information, text, files and other content or materials (together, the “Content”) uploaded, downloaded, or appearing on our websites or applications.

If you’re using our Service on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of that Organization and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, “you” and “your” refers to that Organization.

Related Policies: By using the Service, you agree to be bound by these Terms of Service, as well as our Privacy Policy and Security Policy. These documents together govern your use of Taqiro and outline how your data is collected, used, and protected.

Please review each policy carefully. Your use of the Service indicates your acceptance of these Terms, along with the Privacy Policy and Security Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" refers to the organization. If you do not agree to these terms or any of the related policies, please do not use the Service.

1. User Accounts and Eligibility

• You must be at least 13 years old to use the Service.

• You agree to provide accurate and complete information when creating an account.

• You are responsible for safeguarding your account credentials and for all activity under your account.

• Notify us immediately of any unauthorized use or security breach.

• Do not impersonate others or use another user’s account without permission. Violations of this section may lead to immediate account suspension or termination.

• Accounts must not be created by automated bots or scripts.

• You may not reverse engineer, decompile, or disassemble the Service except as permitted by law.

2. Permitted Use

You agree to use the Service only for lawful purposes in accordance with applicable local, state, national, or international laws, including Indian laws, and these Terms. You must not:

• Violate any local, state, national, or international laws.

• Upload, share, or distribute content that infringes others’ intellectual property rights.

• Interfere with or disrupt the security, integrity, or functionality of the Service.

• Attempt to access, use, or manipulate data that you are not authorized to access.

3. Fees and Billing

Taqiro offers both free and paid features. By subscribing to paid plans, you agree to pay the applicable fees and taxes.

• All fees and billing details will be clearly described at the time of purchase.

• Payments are processed securely and in compliance with Indian taxation laws, including applicable Goods and Services Tax (GST).

• You must provide accurate and up-to-date billing information.

• Refund policies, if applicable, will be transparently stated at the time of purchase.

We reserve the right to modify fees or introduce new paid features with prior notice to users. Should an existing free feature become a paid offering, we will provide clear notification to users, outlining the changes and options to subscribe or continue using a free version of the Service.

4. Refund Policy

For paid accounts, we offer a satisfaction guarantee on all services. If you are not satisfied with your purchase, please contact us at support@taqiro.com within 14 days of the transaction to request a full refund. Refunds will be processed promptly. Please note that we reserve the right to deny refund requests if we reasonably determine the policy is being abused.

5. Use of the Service

You must not:

• Modify, hack, or falsely imply association with Taqiro.

• Use automated tools (bots, scrapers) without permission.

• Disrupt servers or networks.

• Circumvent access controls or security.

• Restrict others’ access or use.

• Violations may result in suspension or termination of accounts without notice.

6. User-Generated Content Responsibility

You are solely responsible for any content you create, upload, or share through the Service. By submitting content, you represent and warrant that your content:

• Does not violate any applicable laws, regulations, or third-party rights (including intellectual property, privacy, and publicity rights).

• Is not unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, invasive of another’s privacy, hateful, or otherwise objectionable.

• Does not contain viruses, malware, or any other harmful code or material.

Please note: Taqiro does not pre-screen or actively monitor all user-generated content. However, we reserve the right, but are not obligated, to review, remove, or disable access to any content that we reasonably believe violates these Terms, our policies, or is otherwise inappropriate. Violations may result in immediate suspension or termination of your account, and we may cooperate with legal authorities as required by law.

You agree to indemnify and hold Taqiro harmless from any claims, damages, losses, or liabilities arising from your content or violation of these Terms.

7. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by Taqiro.

Taqiro has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse or guarantee the offerings of any such entities or their websites.

YOU ACKNOWLEDGE AND AGREE THAT Taqiro SHALL NOT BE LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR RELIANCE ON ANY CONTENT, GOODS, OR SERVICES AVAILABLE ON OR THROUGH THIRD-PARTY WEBSITES OR SERVICES.

We strongly recommend that you review the terms of service and privacy policies of any third-party websites or services you visit.

8. License and Software

If we provide downloadable software, you receive a limited, non-exclusive license to use it solely for accessing the Service. Ownership remains with Taqiro.

9. Content Moderation & Enforcement

We may remove content or accounts violating these Terms or applicable laws. We may suspend or restrict access at our discretion.

10. Account Suspension and Termination

Accounts may be suspended or terminated for Terms violations, inactivity, or legal risk. Upon termination, your rights to use the Service end and data may be deleted.

11. Service Modifications and Updated Terms

We may update the Service or Terms at any time by posting updates on our website. Continued use indicates acceptance.

12. Support Access & Data Handling

If you contact support, you may grant access to your account data for troubleshooting. Please specify if you prefer support without such access.

13. Data Storage and Processing

Your data is securely stored and processed on Amazon Web Services (AWS) infrastructure. We treat all data with the same level of protection, regardless of where it is stored or processed, and implement robust technical and organizational safeguards consistent with international standards.

Currently, your data is stored and synchronized within one of the following AWS regions:

• East US (Ohio)
• Central EU (Frankfurt)
• Southeast Asia (Singapore)
• South Asia (Mumbai)

Enterprise plan customers may discuss dedicated regional deployments, including private clouds or isolated infrastructure, to keep data within a preferred jurisdiction while still accessing integrations and analytics.

Where data is transferred outside your region, we ensure continued protection through Standard Contractual Clauses (SCCs) and other legally recognized data transfer mechanisms under applicable laws, including: EU GDPR, Singapore PDPA, Australia Privacy Act / APPs, Japan APPI, Brazil LGPD, California CCPA / CPRA, Virginia VCDPA

We take privacy seriously and design our products with a privacy- and security-first mindset. All of our plans comply with current global data protection laws, and we implement appropriate measures to protect your data during storage, processing, and transfer.

14. Right to Switch & Data Portability

In line with the EU Data Act (2025/2026), we support the right to switch service providers and provide wide-ranging data portability. While the Product UI and APIs do not yet surface a self-serve export, you can request your complete account export (tasks, attachments, metadata, settings, team data) in machine-readable formats such as CSV or JSON by emailing support@taqiro.com. We will respond promptly and share the requested export securely.

We will not impose artificial technical or contractual barriers that frustrate your ability to change providers, and we notify you of any dependencies that need to be resolved before switching. Data you port as part of this process remains subject to these Terms (including confidentiality and usage restrictions) until you notify us in writing that the transition is complete.

15. Rights and Ownership

Our Content: All materials provided by Taqiro, including text, graphics, logos, designs, software, and other intellectual property, are protected by copyright, trademark, and other laws and are owned by Taqiro or its licensors. Unauthorized use, reproduction, or distribution is strictly prohibited.

Your Content: You retain full ownership of any content you create or submit through the Service. By submitting your content, you grant Taqiro a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, and display your content solely to operate, provide, and improve the Service.

Notifications: You may receive service-related notifications and promotional messages. Essential service-related notifications (e.g., security alerts, account updates) are necessary for the Service and cannot be opted out of.

Trademarks: The Taqiro name, logo, and other service marks are our registered trademarks. You may not use them without our prior written consent.

Service Availability: While we strive to keep the Service available and reliable, we do not guarantee uninterrupted access and are not responsible for outages, delays, or data loss.

16. Reporting Copyright Violations

If you believe your copyrighted work has been used on Taqiro without authorization, please send a detailed infringement notice to support@taqiro.com

Your notice must include:

• Your physical or electronic signature

• A description of the copyrighted work you claim has been infringed

• The location (URL or description) of the infringing material on the Service

• Your contact information (address, phone number, email)

• A statement that you have a good faith belief that the use is unauthorized

• A statement, under penalty of perjury, that the information in your notice is accurate and you are authorized to act on behalf of the copyright owner

We reserve the right to remove infringing content and terminate repeat infringers.

17. Disclaimer of Warranties

Taqiro is provided on an “as is” and “as available” basis, without any warranties or guarantees of any kind, express or implied. While we strive to offer a reliable and secure service, we do not guarantee that the Service will be uninterrupted, error-free, or free from vulnerabilities. Your use of the Service is at your own risk.

18. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability arising out of or relating to these Terms, whether in contract, tort, strict liability, or otherwise, shall not exceed $50 USD (or the equivalent amount in local currency at the time the claim arose) per claim or series of related claims. This cap survives even if the limited remedy fails of its essential purpose.

In no event shall Taqiro or its affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, or goodwill, even if advised of the possibility of such damages, except to the extent such exclusions are prohibited by applicable law. This limitation does not apply to liability resulting from our gross negligence, willful misconduct, death, or personal injury.

19. Indemnification

You agree to indemnify, defend, and hold harmless Taqiro, its affiliates, officers, employees, and agents for third-party claims that arise directly from your content, violation of these Terms, or infringement of third-party rights. We do not seek indemnity for claims resulting from our gross negligence, willful misconduct, or breaches of applicable privacy/security obligations, nor do we demand indemnity for regulatory fines, penalties, or remedial obligations that are imposed solely on us.

If a third-party claim is asserted, notify us promptly, cooperate with our defense, and provide us a reasonable opportunity to control the defense with counsel of our choosing; we will not settle the claim in a way that imposes obligations on you without your consent unless required by law.

20. Dispute Resolution

We try to resolve every issue through direct communication. Email support@taqiro.com with your concern, and we will respond within 14 days. If a dispute cannot be resolved through good-faith discussions within 30 days, either party may pursue mediation or bring the matter before a court in Puducherry, India. This approach keeps costs predictable while still preserving each party’s rights.

Either party may seek interim or injunctive relief from any court to prevent imminent harm to intellectual property, confidential information, or data privacy interests while the broader dispute is unresolved.

21. Time Limit on Claims

Any claims or disputes arising out of or relating to your use of the Service or these Terms must be brought within two (2) years from the date of the event giving rise to the claim. Failure to do so will result in waiver of such claims.

22. Governing Law and Venue

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of India.

If a dispute proceeds to court, it shall be brought in the courts located in Puducherry, India, and by using the Service you consent to the personal jurisdiction of those courts.

23. Termination

We reserve the right to suspend or terminate your access to the Service if you violate these Terms or if required by law. Except in cases of serious misconduct, we will provide notice or an opportunity to address issues before termination.

Termination may occur without prior notice in circumstances where immediate action is necessary to protect the Service or its users.

24. Force Majeure

Taqiro shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. This clause does not affect your statutory rights.

25. Severability and No Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed from the Terms without affecting the validity and enforceability of the remaining provisions. Our failure to enforce any right or provision under these Terms shall not be deemed a waiver of such right or provision.

26. Entire Agreement

These Terms constitute the complete and exclusive agreement between you and Taqiro regarding your use of the Service, superseding any prior agreements or understandings. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

27. Governing Law and Jurisdiction

These Terms of Service, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

28. Territorial Restrictions

The Service is intended for use only in jurisdictions where it is lawful to do so. You agree to comply with all applicable local laws, regulations, and export control rules. Use of the Service in any country or region where such use would be illegal or require registration is prohibited.

29. Language

These Terms are drafted in English. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.
